Terms of Service

Effective upon your acceptance, these Terms of Service ("Terms") govern the relationship and serve as an agreement between 1306972 B.C. LTD., doing business as Our Forest ("Our Forest", "we", "us", "our"), with a primary place of business at 997 Seymour St., Vancouver, British Columbia, V6B 3M1, Canada, and you ("User", "you"). By using our tree planting services ("Services"), you agree to these Terms.

1. Services Provided

Our Forest facilitates tree planting through partnerships with various tree planting partners ("Partners"). We ensure the integrity and impact of the trees planted and maintain the necessary technology and APIs to track planting activities. Users will receive a company profile page, badges, QR code, and other assets to help communicate the initiative to their customers.

2. Usage Rights

Users are granted the right to use Our Forest's name, logo, and any other promotional material provided by us or our Partners on their website, blog, or other customer communications as deemed appropriate by the User.

3. Payment

The cost per tree will vary depending on factors such as the volume of trees ordered, the specific partnership agreement, and any promotional offers in effect at the time of purchase. Specific pricing will be communicated and agreed upon prior to the commencement of services.

Payment options include a periodic invoice payable within 30 days of receipt, or an automatic charge to the card on file within the first 7 days of the month following the month in which trees were credited to the User's account.

All pricing and payment terms will be confirmed in writing between Our Forest and the User before services are rendered.

4. Term and Termination

These Terms are effective upon your acceptance and continue until either party chooses to terminate. Termination can occur at any time by providing written notice to the other party. Outstanding payments for services rendered must be settled within 30 days of termination.

5. Liability

To the maximum extent permitted by law, neither Our Forest nor Users shall be liable for any indirect, incidental, special, consequential or punitive damages resulting from or relating to these Terms. The total liability of either party is limited to the amount paid by the User to Our Forest in the twelve months prior to the event giving rise to the liability.

6. Dispute Resolution

Any disputes under these Terms will be resolved through arbitration at the Vancouver International Arbitration Center, according to the rules then in effect, applying the laws of Canada and the Province of British Columbia.

7. Miscellaneous

If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue to be valid and enforceable. The relationship established by these Terms is that of independent contractors, and no joint venture, partnership, employment, or agency relationship exists between Our Forest and the User.

8. Amendments

We reserve the right to modify these Terms at any time. Changes will become effective immediately upon posting on our website. Your continued use of our Services after changes have been posted will constitute your acceptance of such changes.

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
